Conditions of Sale
- In these conditions ("the conditions")
"the Seller" means Sheila Sewell and "the Buyer"
means the person who accepts the quotation of the Seller of whose
order is accepted by the seller in relation to the sale or supply
of goods and/or services by the Seller to the Buyer, which goods
or services are referred to as ("the Goods").
- All contracts for the sale of Goods by
the Seller to the Buyer shall be subject to the Conditions save
as varied in accordance with the provision hereof.
- All orders are accepted by the Seller
and all quotations are accepted by the Buyer subject to the Conditions
which shall override and exclude any other terms introduced or
purported to be introduced by the Buyer.
- The Conditions shall not be capable of
variation except written agreement between duly authorised representatives
of the Seller and the Buyer.
- For purposes of the Conditions, "writing"
includes telex facsimile transmission, email and comparable means
of communication.
- No contract for the sale of Goods shall
be concluded until the Seller has acknowledged the Buyers order
in writing and such acknowledgement by the Seller shall be deemed
to be subject to the Conditions.
- The price of the Goods shall be the Seller's
quoted price unless agreed by the Seller in writing.
- Payment must be received in full before
dispatch of the Goods.
- Cost of transport and insurance is inclusive
for goods due for delivery within the United Kingdom. If at the
Buyers request the Seller is to deliver the Goods to some other
place of delivery the cost of transport, insurance or other costs
encurred shall be borne by the Buyer. The quoted price is inclusive
of the Seller's standard packaging for the goods due for delivery
within the United Kingdom
- All prices quoted by the Seller are exclusive
of value added tax.
- Any dates quoted for delivery of the goods
are approximate and the Seller shall not be liable for any delay
in delivery of the Goods howsoever caused.
- All Copyright of the Goods will remain
with the original Seller, Goods must not be copied or reproduced
in any way, shape or form without written consent of the Seller.
- The Seller guarantees that the Goods are
genuine originals and that the Seller owns the Copyright to such
goods and as such has sole right to reproduce, copy, or sell copies
of the original Goods.
- The Goods are represented in good faith
and to the best of the Seller's abilities. Due to the limitations
in reproduction techniques no warranty is expressed or implied
as to the likeness (reproduction of colour) of the portrayed Goods
to the original.
- No order which has been accepted by the
Seller may be cancelled by the Buyer except with agreement in
writing of the Seller and on terms that the Buyer shall indemnify
the Seller in full against all loss (including loss of profit)
costs (including the cost of labour and materials used) damages
charges and expenses reasonably incurred by the Seller as a result
of the cancellation.
- The Seller shall not be liable to the
Buyer or be deemed to be in breach of the contract by reason of
any delay in performing or any failure to perform any of the Seller's
obligations in relation to the Goods if or to the extent that
the delay or failure was due to any cause (of whatsoever description)
beyond the Seller's control.
- Any dispute arising under or in connection
with these Conditions or the sale of the Goods shall be subject
to the exclusive jurisdiction of the English courts.
- The Contract shall be governed by the
laws of England.
